Mr. Du has accumulated more than 15 years of experience in law firms. Mr. Du joined Haiwen in 2010. Prior to joining Haiwen, he worked at Commerce & Finance for about 2 years.
■ In the area of capital markets transactions, Mr. Du frequently represents issuers/underwriters in IPO and follow-on offerings. The representative securities offering and listing transactions that Mr. Du advised on include:
(1) HK or US IPO or secondary listings of offshore companies involving onshore business (including “Red-Chip” companies): ZJLD Group, Huafang Group, Weibo Corporation, Baidu, Linklogis, Blue Moon Group, Wanka Online, Rundong Auto, Logan Group, WH Group, Modern Dairy, Sihuan Pharmaceutical;
(2) H Shares IPO: Postal Savings Bank of China, China Huarong AMC, China Cinda AMC, China Reinsurance Group, China Bohai Bank, Jinshang Bank, Zhongguancun Science-tech Leasing, Jenscare Scientific;
(3) A shares IPO: Postal Savings Bank of China(Main Board of the SSE), CNOOC(Main Board of the SSE), Succeeder (SSE Star Market), Qing Cloud (SSE Star Market);
(4) Follow on offerings: Follow on H shares offerings by China Huarong AMC and Ainnovation, a follow on offering by Tiger Brokers, follow on A shares offerings by Postal Savings Bank of China and IAT Automobile, issuances of offshore preference shares by Postal Savings Bank of China and China Cinda AMC.
■ In the area of M&A and PE investment transactions, Mr. Du extensively advises clients in M&A and PE investment deals. His recent transactions include: advising Morgan Stanley PE, Dayone Capital, China Internet Investment Fund, CICC Capital, Sunshine Insurance, CMC and Fontus Capital in connection with several equity investments; advising China Huarong AMC, China Orient AMC, Postal Savings Bank of China and Huarong Securities in connection with introducing strategic investors; advising Shandong Financial Asset Management in connection with its investment in Hengfeng Bank; advising China Huarong AMC in connection with transferring controlling interests of Huarong Zhongguancun Distressed Asset Exchange Center, Huarong Xiangjiang Bank, Huarong Consumer Finance and Huarong Trust.
Mr. Du has been recognized as one of the “Rise Stars” in 2020 by Asian Legal Business (ALB) of Thomson Reuters, one of the “Rise Stars” in 2021 by China Business Law Journal and A-List Top Lawyers in 2022 by China Business Law Journal. He has also been recognized by IFLR and Legal 500 for his practice in capital markets.
Mr. Du received his Master of Laws degree and his Ph.D degree from the Renmin University of China in 2006 and 2012, respectively.
