    Zuolong Wu is an partner based in the Hong Kong office of Haiwen & Partners.  He specializes in public and private M&A transactions, private equity investment, outbound investment, complex inbound investment and joint ventures, fund formation, acquisition financing, debt issuance and debt restructuring.  He has experience in sectors of medical and healthcare, insurance, internet, media and technology, education, real estate, automobile, logistics, agriculture and retail sale and consumer products.  He has advised on M&A transactions in Hong Kong, China, U.S. and Europe. 

  • Professional History

    Zuolong joined the Hong Kong office of Haiwen & Partners at the end of 2016.  Prior to joining Haiwen, Zuolong has practiced law for 13 years in Greater China. He worked for approximately 5 years at the Hong Kong offices of Paul, Weiss, Rifkind, Wharton & Garrison and Wilson Sonsini Goodrich & Rosati.  He worked at Freshfields Bruckhaus Deringer's Shanghai and London offices for approximately 7 years.  He also worked at the Shanghai office of Shearman & Sterling for one year.

    His experience includes:  

    advising offerors in mandatory general offers for the control of Hong Kong listed companies and advising purchasers in privatisation of Hong Kong listed companies;

    advising founders and major investors on the privatization of US listed companies such as Wuxi PharmaTech, Qihoo 360, 21Vianet, Jumei, Autohome, iDreamSky, Focus Media, CNinsure and Yongye;

    advising KKR, Morgan Stanley Private Equity Asia (MSPEA), PAOH, Apollo, Baring Private Equity Asia, Bain Capital, TPG Capital, General Atlantic, Temasek, Goldman Sachs, FountainVest, CICC Private Equity, Boyu Capital, Sequoia China and health fund of China Life on cross-border investment;

    advising PRC companies on outbound investment, such as Geely's acquisition of Volvo, Tencent’s investment in California, AT&M’s attempted takeover of OM Group Inc., Orient Hontai Capital's bid for MP & Silva, Sinochem's bid for the business of Santoflex and Kaizhong Precision (002823. SHE)’s acquisitions in UK and Hong Kong;

    advising borrowers such as consortiums formed by KKR, MSPEA, Boyu Capital, Sequoia, Tencent and founders in the acquisition financing for purposes of the privatization of Yageo, Yongye, Wuxi PharmaTech, Qihoo 360, iDreamSky and 21Vianet;

    advising Tencent on the formation of two special purpose funds for investment in Lianjia, and Tencent's investment in Keywise Capital and formation of a special purpose fund between Tencent and Keywise Capital for investment in high-tech enterprises in California; advising founder and his affiliates on the formation of a special purpose fund for investment in Wuxi PharmaTech; advising Ping'an Insurance on its investment in overseas funds;.

    advising Minmetals Land (0230.hk) in its issuance of perpetual notes; advising Sinoenergy Corporation (600856.sh) in its issuance of USD debt notes; advising Tempus Holdings (06880. hk) in its private placement of convertible notes; advising LionRock Capital in its purchase of convertible notes issued by Sunshine Oilsands (02012. hk); advising on the debt restructuring of Xiwang Group; advising China Cinda, China Jianyin Investment, SITC International and  Huarong International on debt restructurings;

    advising multinational companies on foreign direct investment, including: Verisk Analytics, Johnson Controls, Honeywell, AB Inbev, Merck, Sinofi, Rolls Royce, BASF-Engelhard, Alcoa, Tesco, Solvay, Hercules, Avis, Brunswick, Degussa, Balfour Beatty, Low & Bonar, ProLogis, Cabot, Weatherford and Qiagen.

  • Education

    Zuolong studied laws in China, Europe and the U.S.  He has obtained a Bachelor of Law degree from the Law School of Wuhan University and Masters of Law degrees from the Law School of Fudan University, the Law Faculty of Lund University of Sweden and the Law School of Columbia University in the City of New York. Zuolong is a Hong Kong solicitor, and he is admitted to practice New York law and licensed to practice PRC law.

    Zuolong is a native Mandarin speaker and is fluent in English.
