    Ms. Chen is a counsel in the firm’s Beijing office. Ms. Chen has nearly ten years’ legal experience, and focuses primarily on cross-border mergers and acquisitions (both inbound and outbound), foreign direct investments, private equity investments, capital markets, and general corporate matters. She provides legal services to a diverse clientele, including numerous large state-owned enterprises, multinational corporations, private equity investment funds, sovereign wealth funds, industrial investors, and start-ups. Her expertise covers a wide range of areas including controlling stake acquisitions, bidding acquisitions, joint ventures, strategic investments, financial investments, restructurings, divestments, deal structure designing, ESOPs, corporate governance, and daily operations. Ms. Chen has extensive experience across various sectors, including oil and gas, new energy, advanced manufacturing, TMT, biopharmaceuticals, and consumer products.

    In the areas of mergers and acquisitions, greenfield investments, and joint ventures, Ms. Chen’s recent representative M&A experience includes: representing Warburg Pincus in the acquisition of equity in Zhen Shi Ming Pharmaceuticals through a property exchange, representing Warburg Pincus in the indirect sale of its oil and gas assets in China to a listed company in Hong Kong, representing AUO, a listed company in Taiwan, in bidding for the acquisition of a German automobile manufacturer, representing a Singaporean exhibition company in its intended bid to acquire Chinese exhibition companies, representing Nitech in its acquisition by Genesis Medtech, representing Alibaba in its acquisitions of a video filming tool company, an AI education technology service company, and a real-time audio and video technology company, representing Ingage in its sale of majority stake to Tencent; Ms. Chen’s recent representative greenfield investments experience includes: representing a state-owned energy enterprise’s greenfield investment in a photovoltaic power station project in the Democratic Republic of the Congo, representing a multinational corporation in the metal industry for its greenfield investment in China to establish and construct a copper smelter project with a local partner; Ms. Chen’s recent representative joint ventures experience includes: representing an industrial park in its collaboration in the field of scientific research achievements with a Dubai government fund in the United Arab Emirates, representing a state-owned energy enterprise in establishing a joint venture with a local partner in Kazakhstan, representing a Singaporean listed company in its intended joint venture to establish a data center business in China, representing Alibaba in establishing a joint venture with Richemont Group and Farfetch, representing EasyPnP in establishing a joint venture with Mitsui, representing Zanadu Travel in establishing a joint venture with the Australian company Luxury Escapes.

    In the area of private equity investments, Ms. Chen has represented numerous renowned investment institutions, including Warburg Pincus, GIC, HongShan China, Hillhouse Capital, IDG Capital, Gaorong Capital, SIG Capital, SAIF Partners, Alibaba, Tencent, and ByteDance in considerable strategic investments, financial investments, and restructuring transactions. Ms. Chen’s recent representative experience includes: representing GIC in the Pre-IPO investment and red-chip restructuring of an energy storage company, representing HongShan China as an initial round shareholder in investing in a semiconductor chip company, the Pre-IPO investment of Manbang Group, the Series C investment of Hive Box, the Series B investment of Double FS, and the Series A and A+ investments of Miracle Miles, representing Hillhouse Capital in the red-chip restructuring and Series C investment of Moody, the Series B investment of Hangzhou Yingyun, the Series C+ investment of XAG, the Series B+ investment of Iris, the Series A and A+ investments of LinkCure Therapeutics, representing IDG Capital in the Series C investment of Horizon Robotics, the Series B investment of Smartmore Technology, and the convertible bond and Series A investment of Pengxing Intelligent, representing Tencent in the Series C investment of Moodytiger, representing ByteDance in the Series C investment of Future Robot and its offshore restructuring, representing a Silicon Valley-based fund in the red-chip restructuring of a Silicon Valley-headquartered startup.

    In the area of capital markets, Ms. Chen’s recent representative experience includes: representing an autonomous driving company in its initial public offering and listing in the United States, representing an innovative pharmaceutical company in its IPO and listing in Hong Kong, representing an investor in the IPO and listing of a SaaS service company in Hong Kong, and representing an investor in the IPO and listing of a comprehensive hospital in Hong Kong.

    In the area of general corporate matters, Ms. Chen’s recent representative experience includes: representing a central state-owned enterprise in the fields of oil & gas and energy, providing operational legal services for its multiple oil and gas and renewable energy projects in Central Asia; representing a state-owned enterprise in the field of energy sector, offering legal services for its business operations and corporate governance.

    Ms. Chen is the recipient of the 2017 CLECSS-Fangda Overseas Scholarship and is honored as a James Kent Scholar at Columbia University.

    Ms. Chen has participated in the writing of a series of articles on the commercialization of scientific and technological achievements in universities and research institutes.

    Ms. Chen received her LL.B. degree from Southwest University of Political Science and Law in 2012 and LL.M. degree from Tsinghua University in 2014, respectively. She also received an LL.M. degree from Columbia Law School in 2018.
