Ms. Fu Duan is a partner of Haiwen & Partners based in the firm’s Beijing and Hong Kong offices. Ms. Fu’s practicing areas include cross boarder M&A, corporate finance, foreign direct investments, with a particular focus on private equity and venture capital investments and transactions involving U.S. and Hong Kong publicly listed enterprises.

Ms. Fu has over 15 years of legal experience. Prior to joining Haiwen in 2023, Ms. Fu served as senior investment legal counsel for Alibaba Group Holdings Limited in Hong Kong and previously practiced with Simpson Thacher & Bartlett LLP in Beijing and Jenner & Block LLP in Chicago.

Ms. Fu has represented an extensive client base encompassing both public and private multinational corporations, international private equity firms and venture capital funds, and Chinese enterprises including both SOEs and non-SOEs. Among such clients are Alibaba Group, AVIC Electromechanical Systems Co., Blackstone, Bona Film Group, Chalco Iron Ore Holdings Ltd., China National Agrochemical Corporation, Cosmo Lady (China) Holdings, Fang Holdings, GDS Holdings Limited, HiSoft Technology International Limited, KKR, Leyou.com Inc., Phoenix New Media Ltd., Primavera Capital, Sanpower Group, Shanghai Weicon Optics Co., Vision Plus Capital, VisionChina Media Inc., Xiabuxiabu Catering Management Holdings Co., Yingli Energy Development Co., Yunfeng Capital, Zoomlion Heavy Industry Science & Technology Co., 500.com, etc.  Ms. Fu has advised clients in a number of private equity and mezzanine debt investment transactions, joint ventures, convertible notes, exchangeable notes, business collaborations, corporate restructuring including spin-off and carve-outs, complex change of control acquisitions and disposals, as well as buyouts and privatizations.  She has also represented clients in various capital markets transactions involving US IPOs, Hong Kong IPOs and debt offerings.

Ms. Fu graduated from Zhejiang University in Hangzhou, China with a Bachelor of Engineering degree in 2005, with a major in Telecommunications Engineering. Ms. Fu received her Juris Doctor degree in 2008 from Chicago-Kent College of Law in Chicago, the United States.

Ms. Fu's native language is Mandarin Chinese, and she is fluent in English.
