  • Basic Information

    Ms. Taoye Ye is an international partner based in the Shanghai office of Haiwen & Partners.  Taoye has extensive experience in structuring and executing cross-border mergers and acquisitions and private equity investments in China, with a particular focus on the real estate sector.  Taoye also has substantial experience in the structuring and establishment of onshore and offshore investment funds. 

  • Professional History

    Taoye joined Haiwen as an international partner in 2020.  Before joining Haiwen, Taoye was a counsel at Allen & Overy.  She worked with Allen & Overy's Shanghai Office for nine years, and before that with Paul Hastings'Shanghai Office for several years.

  • Experience Highlights

    Taoye has extensive experience in cross-border M&A transactions representing international financial institutions, investment funds, sovereign wealth funds and domestic SOEs and private companies.  Her client includes Morgan Stanley, Allianz, AEW, Oaktree, Cerberus, Warburg Pincus, China Vanke, Hony Capital, Alibaba, etc.  Her recent deal highlights include advising: (i) AEW and Hony Capital on the acquisition of Beijing Hopson International Plaza, (ii) Allianz on the acquisition of Shanghai Innov Star Plaza, (iii) China Vanke on the acquisition from Swire Industrial Group of its cold-chain logistics platform in China, (iv) an international investor on the acquisition of logistics assets from CNLP, (v) Warburg Pincus on its investment into a multifamily rental platform, and (vi) Oaktree on its NPL investments. 

    Taoye also has substantial experience in fund formation and investments, particularly relating to real estate funds.  Her recent experience includes advising: (i) ESR on the formation of its USD fund focusing on logistics investments, (ii) QuadReal on its investment into a USD single-asset real estate fund as a LP, (iii) a Middle Eastern corporation on its investment in a fund focused on investments in multifamily residential apartments in China, and (iv) an international investor on the formation of a QFLP platform in China for real estate investments.

  • Accolades

    Taoye was recognized by Legal 500 as the next generation lawyer for China corporate / M&A for five consecutive years starting from 2016.

  • Education

    Taoye received an LL.B. and an LL.M. from Shanghai Jiaotong University in 2006 and 2009 and an LL.M. from Columbia University in 2011.  She is admitted to practice law in the state of New York.

  • Language

    Taoye's native language is Mandarin, and she speaks English fluently.
